1. About MindGuard

MindGuard is an AI-powered trading psychology coaching tool delivered as a Chrome browser extension and web application. It is designed to help traders recognize behavioral biases and improve mental discipline — it is not financial advice, investment advice, or a trading signal service.

2. Eligibility

You must be at least 18 years old to use MindGuard. By creating an account, you confirm that you meet this requirement and that you have the legal capacity to enter into a binding agreement. MindGuard requires a Tradovate trading account (demo or live) to function — you are responsible for maintaining your own Tradovate login credentials and complying with Tradovate's terms of service.

3. Your account

• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at support@mindguardai.io if you suspect unauthorized access
• MindGuard reserves the right to suspend accounts with suspicious or unauthorized activity

4. Acceptable use

You agree not to:

• Use MindGuard for any unlawful purpose or in violation of any regulations
• Attempt to reverse-engineer, scrape, or extract data from MindGuard systems
• Resell, sublicense, or otherwise commercialize MindGuard without written permission
• Transmit harmful, offensive, or abusive content through the AI coach
• Attempt to circumvent security measures or access other users' accounts
• Use automated tools (bots, scrapers) to interact with MindGuard services
• Interfere with or disrupt the integrity or performance of MindGuard services

5. Not financial advice — important disclaimer

MindGuard provides psychological coaching, behavioral pattern analysis, and educational content only. Nothing in MindGuard constitutes financial advice, trading recommendations, or investment guidance.

• All trading decisions are your own responsibility
• Past behavioral patterns identified by MindGuard do not guarantee future trading outcomes
• Mental scores, bias alerts, and AI coaching responses are informational tools — not trading signals
• MindGuard is not registered as a financial advisor, broker-dealer, or investment company
• You should consult a qualified financial professional before making investment decisions

6. AI-generated content

MindGuard uses AI (powered by Anthropic Claude) to generate coaching responses, analyze trading patterns, and detect behavioral biases. You acknowledge that:

• AI-generated content may contain inaccuracies or errors
• AI responses are not a substitute for professional psychological or financial counsel
• MindGuard does not guarantee the accuracy, completeness, or reliability of AI-generated insights
• You should exercise your own judgment before acting on any AI-generated recommendation

7. Subscription and billing

MindGuard offers two paid subscription plans (Pro and Elite) with a 7-day free trial, and a free tier with limited functionality.

Subscription tiers

• Pro ($22/month billed yearly, or $29/month billed monthly): Up to 2 Tradovate accounts, 15 AI coaching messages per day (daily sessions and trade debriefs are unlimited), 90-day trading history, all bias detectors, daily debrief, CSV/PDF export, email support.
• Elite ($37/month billed yearly, or $49/month billed monthly): Up to 5 Tradovate accounts, 30 AI coaching messages per day (daily sessions and trade debriefs are unlimited), unlimited trading history, custom bias profiles, full psychological profile report, priority support — plus everything in Pro.
• Free tier (after trial expires without subscribing): Access to your account dashboard only. No AI coaching messages, no trade monitoring, no trading history access. You may upgrade to a paid plan at any time to restore full functionality.

Trial, billing, and cancellation

• Free trial: 7 days from registration. A credit card is required to start the trial. During the trial you have access to Pro-tier features. Cancel before day 7 to avoid charges.
• Billing: Subscriptions are billed monthly or annually through Paddle, our payment processor and Merchant of Record. Paddle handles all payment processing, invoicing, and tax compliance.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — no partial refunds are provided for unused time. Your account will automatically downgrade to the free tier once your subscription expiry date is reached.
• Subscription expiry: When your subscription expires or is cancelled, your account downgrades to the free tier. Historical data remains stored in your account but access is limited per free tier restrictions. You can restore access by re-subscribing.
• Price changes: We may change subscription prices with 30 days' advance notice. Existing subscribers will be notified by email before any price increase applies to their account.
• Refunds: No refunds are provided after purchase. You may cancel your subscription at any time, and cancellation takes effect at the end of the current billing period. For exceptional circumstances, contact billing@mindguardai.io.

8. Intellectual property

MindGuard and all its components — including the extension, AI models, algorithms, interfaces, content, and branding — are owned by MindGuard and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use MindGuard for personal, non-commercial purposes during your active subscription.

Your trading data and personal information remain yours. MindGuard does not claim ownership of your data.

9. Your data and privacy

Your use of MindGuard is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using MindGuard, you consent to the collection and use of data as described in the Privacy Policy.

10. Third-party platforms

MindGuard integrates with the Tradovate trading platform. You acknowledge that:

• MindGuard is not affiliated with, endorsed by, or officially connected to Tradovate or any broker
• Your use of Tradovate is governed by their own terms and privacy policies
• MindGuard is not responsible for any changes, outages, or issues with Tradovate
• Data accuracy depends on the information received from Tradovate — MindGuard does not verify trade execution details
• MindGuard's ability to monitor trades depends on real-time data from Tradovate. Service interruptions, API changes, or account issues with Tradovate may temporarily impact MindGuard functionality
• The MindGuard Chrome extension uses the Chrome Debugger Protocol to read WebSocket data from the Tradovate tab in order to capture trade events in real time. Chrome will display a "MindGuard started debugging this browser" banner while active — this is a standard Chrome behavior for extensions using this API and is not indicative of any malicious activity

11. Service availability (SLA)

MindGuard targets 99.5% monthly uptime for the backend API and web application, measured on a calendar-month basis, excluding scheduled maintenance windows announced at least 24 hours in advance.

If monthly uptime falls below 99.5% in any calendar month, affected subscribers may request a service credit equal to 10% of that month's subscription fee per percentage point below the target (up to a maximum of 30% of that month's fee). Credit requests must be submitted to billing@mindguardai.io within 14 days of the affected month.

Service credits are your sole and exclusive remedy for downtime. This SLA does not apply to outages caused by: Tradovate or third-party platform unavailability, force majeure events, scheduled maintenance, or issues caused by your own hardware or network.

12. Disclaimers and limitation of liability

MindGuard is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law:

• MindGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• MindGuard shall not be liable for any trading losses, regardless of whether MindGuard was advised of the possibility of such losses
• MindGuard's total aggregate liability shall not exceed the amount you paid for the service in the 12 months preceding the claim
• MindGuard does not warrant uninterrupted, error-free, or secure service availability

MindGuard maintains cyber liability insurance coverage to help protect against data security incidents. Coverage is subject to policy terms and limits.

13. Indemnification

You agree to indemnify and hold harmless MindGuard, its founder, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of MindGuard, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may stop using MindGuard and delete your account at any time directly from your dashboard settings. You may also request account deletion by emailing support@mindguardai.io or legal@mindguardai.io.

MindGuard reserves the right to suspend or terminate accounts that violate these Terms, with or without prior notice. Upon termination, your right to use MindGuard ceases immediately. Provisions that by their nature should survive termination (disclaimers, liability limitations, indemnification) will continue to apply.

15. Governing law and disputes

These Terms are governed by the laws of Israel. Any disputes arising from these Terms or your use of MindGuard shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Tel Aviv, Israel.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17. Changes to these Terms

We may update these Terms from time to time. Continued use of MindGuard after changes constitutes acceptance of the new Terms. Material changes will be communicated via email or in-app notice at least 14 days before taking effect.
